Service Agreement

I have read this form and understand its content and voluntarily give my consent for the collection, use, processing, storage and retention of my personal data or information to Ancorp Healthy World Inc. (AHW) for the purpose(s) described in this document. I also understand that my consent does not prevent the existence of other criteria for lawful processing of personal data and does not waive any of my rights under RA 10173 – Data Privacy Act of 2012 and other applicable laws.

1.[Agreement Establishment]

  1. Once signed, this agreement cannot be cancelled or terminated except as expressly provided in clause.
  2. AHW may terminate this agreement and repossess the Equipment after 30 days’ written notice, if the Customer remains in breach of any terms and conditions of this Agreement.
  3. NO REFUNDS, TERMINATION and CANCELLATION were provided since we are responsible for providing a high level of service that includes replacement and maintenance.”

2.[Right of order acceptance]

AHW reserves the right to accept or reject any Customer order.

3.[Minimum Contract Period]

The minimum contract period for services is three (3) years after which it will automatically continue unless terminated by the Customer.

4.[Installation Condition]

  1. AHW will deliver, install and commission the Equipment into service on the Customer’s premises on the agreed date with the Customer;
  2. Prior to the date of delivery of the Equipment, the Customer shall at its own expense ensure that the installation area(s), electrical outlets and connection requirements and access ways are suitable or are rendered suitable for the passage, installation and commissioning of the Equipment;
  3. Once installed, the Equipment cannot be removed/transferred from the unit without the prior written notification to AHW. Entitled to one free transfer within the same unit, the Equipment can be transferred accordingly; succeeding transfers, the Customer will pay the charges then force in full on receipt of the invoice.

5.[Installation Fee]

Installation of the Equipment will be undertaken by AHW or its appointed technician at no additional charge.

6.[Service]

Service includes free parts and scheduled maintenance service for the duration of this Agreement. However, Customer is liable for the cost of parts or the Equipment in case of faults and/or negligence.

7.[Product Property]

The equipment (or replacement) provided to the Customer under this agreement remains the property of AHW. The Customer shall under no circumstances attempt to dismantle, repair, undertake maintenance work or replace any filters or parts of the Equipment. Customers are forbidden to relocate Equipment without prior approval from AHW.

8.[Termination of Agreement]

Customer is only entitled to terminate the services after 3 years of minimum contract period. AHW reserves the right to terminate the agreement and retrieve the Equipment under the following circumstances:

9.[Termination Fees]

Cancellation fee for early termination of this Agreement will be 100% of the full amount of the remainder of the service period.

10.[Equipment/Parts Loss, Serious Damage or Inability to Repossess Fee / Insurance]

In the event of loss of the Equipment or its parts, the Customer shall be liable to pay the amount due as follows: Equipment/parts Loss Fee = (Total Obligation Service Fees) – (Total Paid Equipment Fees); Customer is obliged to insure the Equipment against loss.

11.[AHW’s Right to Assign]

AHW may sell or assign either absolutely or by way of security any or all of AHW’s rights under this Agreement to any third party, and Customer shall perform all things necessary to give effect to such sale or assignment in continuance of this Agreement thereafter.

12.[Ownership Transfer]

Upon full and prompt Service payment for five (5) continuous years, the ownership of the Equipment shall be transferred to the Customer at no additional charge upon application by Customer. Customer may continue filter changing and maintenance service by signing a new service package exclusively with AHW.

13.[Others]

  1. The Customer shall apply care of a cautious and prudent keeper to prevent damage or deterioration to the Equipment in accordance with the current maintenance policy; Customer allows AHW for inspection and servicing of the Equipment;
  2. The Customer shall under no circumstance mortgage, pledge, sell the Equipment;
  3. However, if Customer utilizes Equipment other than its intended use AHW reserves the right to charge Customer for additional maintenance cost;
  4. AHW shall be entitled to increase the Monthly Service Fees (with prior written advice to Customer) in order to take into account any increase in the operating cost (material, labor and transport) of AHW;

This Agreement with the Service Order Form constitutes the entire Agreement between the Customer and AHW and no representation, statement, condition or warranty not contained in this Agreement shall be binding on AHW and any conditions or warranties implied by any statute(s) are hereby excluded to the extent permitted by such statute(s) and no alteration, waiver or modification of the terms of this Agreement as printed whether made before or after it has been signed on behalf of AHW or release and discharge from it shall be valid unless recorded in writing and signed by a Director of the Company or Legal Counsel of AHW and by a person authorized by the Customer
